Between Seedfundin Limited and Innovators/Entrepreneurs

1. Introduction
These Terms and Conditions (“Agreement”) govern the access and use of the www.seedfundin.com platform (“Platform”) by innovators, entrepreneurs, startups, and individuals (“Innovators”) who seek early-stage or seed funding. By accessing or using the Platform, the Innovator agrees to comply with these Terms and Conditions.
Seedfundin Limited (“Seedfundin” or “the Company”) provides a digital marketplace where Innovators can showcase business ideas, inventions, and innovations to attract investors (“Investors”). Seedfundin acts strictly as a facilitator and does not guarantee funding, investment, or commercial success.
2. Eligibility
The Innovator must be at least 18 years of age and legally capable of entering into binding agreements.
By registering on the Platform, the Innovator warrants that all information provided is true, accurate, and complete.
The Innovator agrees that Seedfundin may conduct verification checks on personal, corporate, or business information provided.
3. Registration and Account Obligations
The Innovator must create an account on the Platform and provide accurate and updated details.
The Innovator is responsible for maintaining the confidentiality of login credentials.
Any unauthorized use of the account must be reported to Seedfundin immediately.
4. Use of the Platform
The Innovator agrees to use the Platform solely for lawful purposes of prospecting for funding.
The Innovator shall not:
Post false, misleading, or fraudulent information.
Upload content that violates intellectual property rights of third parties.
Circumvent the Platform to negotiate directly with Investors without Seedfundin’s consent.
Non-circumvention Clause: The Innovator agrees not to bypass, avoid, or circumvent Seedfundin in any transaction with Investors introduced through the Platform for a period of 24 months.
5. Intellectual Property
The Innovator retains ownership of all intellectual property in their submitted ideas, innovations, or inventions.
By posting content on the Platform, the Innovator grants Seedfundin a limited, non-exclusive license to display, promote, and communicate the content to Investors.
Seedfundin shall not claim ownership of the Innovator’s intellectual property.
6. Funding and Investment Process
The Platform only facilitates introductions between Innovators and Investors.
Any investment discussions, negotiations, or agreements are strictly between Innovators and Investors.
Seedfundin shall not be responsible for verifying the financial capacity or intentions of Investors.
7. Fees and Charges
Seedfundin reserves the right to charge fees, commissions, or subscription charges for the use of the Platform.
Innovators shall be notified of applicable fees before use.
8. Liability Disclaimer
Seedfundin shall not be liable for:
- Any failure of Investors to provide funding.
- Misrepresentation or fraud by either parties
- Any financial loss, reputational damage, or business failure arising from the Innovator’s use of the Platform.
The Platform is provided on an “as is” and “as available” basis without warranties of any kind.
9. Due Diligence
The Innovator acknowledges that Investors are expected to carry out independent due diligence before making investment decisions.
The Innovator must also conduct due diligence on Investors before entering into binding contracts.
Seedfundin does not warrant or guarantee the outcome of due diligence.
10. Confidentiality
All parties agree to treat proprietary and confidential information shared on the Platform with strict confidentiality.
Seedfundin may disclose information only to regulatory authorities where legally required.
11. Termination
Seedfundin may suspend or terminate the Innovator’s account at its discretion in cases of breach of this Agreement.
Innovators may terminate their account by written notice to Seedfundin.
12. Indemnification
The Innovator agrees to indemnify and hold harmless Seedfundin, its affiliates, and officers from any claim, liability, or damages arising from:
The Innovator’s use of the Platform.
Any intellectual property infringement.
Any misrepresentation to Investors.
13. Governing Law and Jurisdiction
This Agreement shall be governed by and construed under the laws of the Federal Republic of Nigeria.
The courts of Lagos State shall have exclusive jurisdiction over any disputes arising under this Agreement.
14. Amendments
Seedfundin reserves the right to amend or modify these Terms and Conditions at any time. Innovators will be notified of significant changes.
15. Entire Agreement
This Agreement constitutes the entire understanding between the Innovator and Seedfundin regarding the use of the Platform.
ACCEPTANCE
By registering or using the Platform, the Innovator acknowledges that they have read, understood, and accepted these Terms and Conditions.
